Important Notice — Limitation of Liability & No Financial Advice: ReachX is a SaaS recruitment management platform. Nothing on this platform or in any communication from AOGRL constitutes financial, investment, legal, or employment-law advice. AOGRL's total aggregate liability under these Terms shall not exceed the fees paid in the three (3) months preceding the relevant claim. AOGRL is not liable for indirect, consequential, or economic losses including lost placements, lost client contracts, or loss of business revenue arising from your use of ReachX.
1. Agreement to Terms
By registering for or accessing ReachX, operated by A-One Global Resourcing Ltd ("AOGRL", "we", "us") under the WimaCom brand, you ("Client", "Agency", or "Organisation") agree to be bound by these Terms of Service. If you do not agree, you must not use the platform. These Terms are governed by the laws of the Republic of Mauritius.
These Terms apply to all users within your organisation including agency directors, consultants, and administrators accessing ReachX under your account.
2. The Service
ReachX is a cloud-based B2B recruitment and staffing CRM platform. AOGRL grants your organisation a non-exclusive, non-transferable, revocable licence to use ReachX for your internal recruitment agency operations during your active subscription period. The service includes:
- Candidate profile management and talent pool organisation
- Employer (client) profile and relationship management
- Multi-stage placement pipeline tracking
- WhatsApp and email outreach sequence automation
- Analytics and placement performance reporting
AOGRL reserves the right to update, modify, or discontinue features of the platform with reasonable notice.
3. Your Account
- You must provide accurate registration information including organisation name, trading name, and primary contact details.
- You are responsible for maintaining the security of all credentials issued to your consultants and staff.
- You must notify AOGRL immediately of any unauthorised access at deals@aogrl.com.
- Each organisation receives an isolated data environment. You must not attempt to access any other organisation's data.
- Account access may not be shared with individuals outside your registered organisation.
- You are responsible for ensuring all staff using ReachX are aware of and comply with these Terms.
4. Acceptable Use
You agree not to use ReachX to:
- Store or process candidate or employer data for purposes other than your own legitimate recruitment operations.
- Conduct unlawful discrimination in candidate screening, placement decisions, or employer targeting on the basis of protected characteristics.
- Attempt to reverse-engineer, decompile, or extract the source code of ReachX.
- Use automated scripts or bots to scrape, abuse, or overload the platform.
- Resell, sublicence, or otherwise commercialise access to ReachX without prior written consent from AOGRL.
- Enter personal data about individuals without a valid lawful basis under applicable data protection law.
- Send outreach communications (email or WhatsApp) to individuals who have not consented or who have opted out.
- Use the platform for any purpose that violates applicable local, national, or international law.
5. Data Ownership
You retain full ownership of all candidate data, employer records, placement records, and business data you enter into ReachX. AOGRL processes this data only as instructed and as set out in the Privacy Policy.
Upon subscription termination, you may export your data within 30 days. After that period, AOGRL will permanently delete your data from its systems. AOGRL will not be liable for data loss following the 30-day post-termination window.
6. Data Processing Agreement (DPA)
By using ReachX, you enter into a Data Processing Agreement with AOGRL, effective from the date of registration, under which:
- AOGRL is the Data Controller for your account data and staff records — we determine how your registration and billing data is handled.
- AOGRL is the Data Processor for all candidate profiles, employer records, and placement data — we process this data solely on your instructions and for the purpose of providing the ReachX platform.
- You, as the subscribing organisation, are the Data Controller for candidate and employer personal data you enter into ReachX — you are responsible for ensuring you have a valid lawful basis for collecting and storing that data.
- AOGRL implements appropriate technical and organisational security measures consistent with its obligations under GDPR and the Mauritius Data Protection Act 2017.
- AOGRL will notify you within 72 hours of becoming aware of any personal data breach affecting your organisation's data.
- AOGRL will assist you in fulfilling data subject rights requests (access, correction, deletion, portability) from candidates or employers upon your written request.
7. Subscription & Payment
- Subscriptions are billed monthly as agreed at the time of registration.
- All fees quoted are exclusive of applicable taxes and levies.
- Non-payment of subscription fees may result in suspension of access after 7 days' written notice.
- No refunds are issued for partial months unless required by applicable Mauritius law.
- AOGRL reserves the right to revise pricing with 30 days' prior written notice to your registered email address.
- Enterprise pricing is negotiated separately and documented in a written service agreement.
8. Service Availability & Maintenance
AOGRL targets 99.5% monthly uptime for ReachX. Scheduled maintenance windows will be communicated to your registered email address at least 48 hours in advance.
AOGRL is not liable for service interruptions caused by third-party infrastructure providers including Railway, Supabase, telecommunications providers, or force majeure events.
9. Outreach Compliance
ReachX enables automated email and WhatsApp outreach to candidates and employers. You are solely responsible for ensuring all outreach activity complies with applicable laws including:
- The Mauritius Data Protection Act 2017 and GDPR where applicable
- WhatsApp Business Policy and applicable messaging platform terms
- Anti-spam legislation in the jurisdictions of your recipients
- Employment law obligations governing unsolicited candidate contact in each country
AOGRL accepts no liability for regulatory penalties, fines, or claims arising from your outreach activity conducted through ReachX.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- AOGRL's total aggregate liability to you under or in connection with these Terms shall not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim.
- AOGRL is not liable for indirect, incidental, special, or consequential damages including but not limited to: lost placements, lost employer contracts, lost recruitment revenue, loss of business data, reputational harm, or third-party claims arising from your use of ReachX.
- AOGRL makes no warranty that ReachX will meet your specific recruitment outcomes or placement targets.
- Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
11. Termination
Either party may terminate the subscription with 30 days' written notice. AOGRL may suspend or terminate immediately and without notice in the event of:
- Material breach of these Terms that is not remedied within 14 days of written notice
- Non-payment of subscription fees
- Unlawful use of the platform or violation of applicable law
- Conduct that poses a security risk to the platform or other users
Upon termination, your access licence ends immediately. You must complete data export within the 30-day post-termination window before deletion.
12. Governing Law & Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Mauritius. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mauritius.
